Terms of sale

These terms apply when you buy from CoatYard through coatyard.com, by quote or by order. Where a written quote you accepted says something different, the quote wins for that order.

Who you buy from

CoatYard is a store operated by materially LLC, 10018 Spanish Isles Blvd, #A20, Boca Raton, FL 33498-6324, USA. Every sale is made by materially LLC.

Quotes

Most of what we sell is priced by written quote. Send a quote request through the site or email hello@coatyard.com, and a person replies with a quote. Each quote states the items and quantities, the price, how long the quote is valid, the lead time or ship window, and the delivery charge or freight estimate (or that delivery is included). A quote is an offer for the period it states; after that, prices and availability can change and we will requote.

An order is made when you accept a quote in writing (or order on the site) and we confirm it. A person checks and confirms every order before it is released; nothing is booked automatically.

Prices, sales tax and resale certificates

Prices are in US dollars. Prices exclude sales tax. Sales tax is added where we are required to collect it, based on the ship-to address, and is shown on your quote or invoice before you pay.

If you are buying for resale, or your organization is exempt, send a valid resale or exemption certificate for the ship-to state before we invoice; we then do not charge sales tax on that order. If a certificate reaches us after we invoice, email us and we will tell you how it applies.

Payment

Payment is due as your quote or invoice states, and your quote or invoice states when the order is released for shipment. Card payments are processed by our payment processor; we never see or store your full card number.

Delivery, title and risk

Ship windows, delay notices and your right to cancel when an order is delayed are set out in our shipping & lead-times policy. Unless your quote states other freight terms, we carry the risk of loss until the goods are delivered to the ship-to address, as that policy says. When title passes to you is as your quote or invoice states. Inspect deliveries as that policy and our returns policy describe.

Returns, damage and claims

Returns, transit damage, defects and how to file a claim are covered by our returns & claims policy, which is part of these terms.

Limitation of liability

Our total liability for any order is limited to the amount you paid for that order, and we are not liable for indirect or consequential losses such as lost profits, labour or delay costs, except where the law does not allow this limitation. Nothing in these terms limits rights you have as a consumer that cannot be limited by contract.

Governing law

These terms are governed by the laws of the state in which materially LLC is organized, without regard to its conflict-of-laws rules, except where the law of your state of residence applies to you as a consumer.
